GENERAL TERMS

1. Acceptance

By clicking “Register,” “Join Now,” “Confirm,” or similar, you agree to enter into a legally binding contract with Tynexia (“Tynexia”), even when using our Services (described below) on behalf of a company or a third party.

1.1. A. If you do not agree to this contract (the “Contract” or “User Agreement”), do not click “Register,” “Join Now,” “Confirm,” or similar, and refrain from accessing or using any of our Services.

1.1.2 This Contract applies to all users of our Services (as defined below). Registered users are referred to as “Clients,” while unregistered users are known as “Visitors.”

1.1.3 You can terminate this Contract at any time by emailing support@tynexia.com with legal@tynexia.com in copy, closing your account, and refraining from accessing or using our Services thereafter.

1.2. Our Services

1.2.1. Users of the Services

a. This Contract applies to tynexia.com and any other affiliated or branded sites, applications, communications, and services offered by Tynexia (collectively referred to as the “Services”).

b. This Contract applies to Clients and Visitors (“Users”) of the Services.

c. You agree to comply with all applicable laws, including privacy laws, intellectual property laws, anti-spam laws, export control laws, tax laws, and regulatory requirements.

d. Participation in Tynexia’s Services as a Visitor or Client, both during and after involvement in any Tynexia programs, is conditioned on your compliance with this Contract and our policies, including our Privacy Policy, Code of Conduct, and Community Guidelines for both online and in-person spaces (collectively, the “Policies”).

1.2.2 Changes to the Services

a. We may update these terms and/or modify this Contract or any of our Policies at any time. Tynexia reserves the right to upgrade, update, or discontinue any aspect or feature of a Service, in whole or in part. If we make significant changes, we will notify you through our Services or other means, giving you a chance to review the changes before they take effect. These changes will not be retroactive.

b. If you disagree with any changes, you may close your account and stop using our Services. Your continued use of our Services after we publish or send a notice regarding changes to these terms signifies your consent to the updated terms as of their effective date.

2. OBLIGATIONS

2.1. Service Eligibility

2.1.1 To access the Services, you agree that: (1) you must be at least 16 years old; (2) you will maintain only one account in your real name; and (3) you are not banned from using the Services.

2.1.2 Creating an account with false information violates this Contract, including accounts created on behalf of others or individuals under 16.

2.1.3 “Minimum Age” refers to the age of 16 years old. However, if local laws require you to be older for Tynexia to lawfully provide Services without parental consent, that older age will be the Minimum Age.

2.2. Conduct

As a User of our services and a member of the community, you agree to:

2.2.1. Code of Conduct

a. Familiarize yourself with and adhere to the Code of Conduct and all related documents.

b. Uphold community guidelines communicated to you.

c. Engage in activities that align with Tynexia’s learning objectives and values.

d. Interact with Tynexia’s online and physical communities in ways that enrich those communities.

e. Consult Tynexia staff responsible for enforcing the Code of Conduct and Guidelines if you have questions or concerns, without allowing issues to escalate.

f. Report any suspected inappropriate behavior or comments per the Code of Conduct procedures.

2.2.2. Logo/Brand

a. Do not use our logo or brand name to imply endorsement or partnership without prior written permission. You may only use our logo or brand name for educational associations that accurately reflect your connection to Tynexia, ensuring to include a disclaimer that your use does not imply endorsement or partnership.

b. Do not modify, alter, or distort our logo or brand in any way.

c. Do not use our logo or brand in any offensive or misleading manner that could harm our reputation or violate laws or ethical standards.

d. Comply with any requests regarding the use of our logo or brand, including removing any inappropriate content as deemed by Tynexia.

2.2.3. You agree that you will not:

2.3.1. Create a false identity, misrepresent yourself, create a profile for anyone other than yourself, or attempt to use another person’s account;

2.3.2. Develop or use software, devices, scripts, robots, or any technology to scrape the Services or copy profiles and data from the Services;

2.3.3. Bypass any security features or access controls of the Service;

2.3.4. Copy, disclose, or distribute any information obtained from the Services without consent;

2.3.5. Share information that you lack the authority to disclose;

2.3.6. Infringe upon the intellectual property rights of others;

2.3.7. Infringe upon the intellectual property rights of Tynexia, including copying or distributing our materials, or using the brand “Tynexia” or our logos contrary to our Brand Policy;

2.3.8. Post harmful codes such as viruses or worms;

2.3.9. Attempt to reverse engineer or derive the source code of the Services;

2.3.10. Imply or claim affiliation with Tynexia without our express consent;

2.3.11. Rent, lease, loan, trade, sell, or monetize the Services or related data without consent;

2.3.12. Deep-link to the Services for any purpose other than promoting your profile without consent;

2.3.13. Use bots to access the Services, add or download contacts, or send messages;

2.3.14. Monitor the Services for competitive purposes;

2.3.15. Engage in practices such as “framing” or “mirroring” the Services’ appearance;

2.3.16. Modify the Services’ functionality;

2.3.17. Disrupt or place an unreasonable load on the Services, including through spamming or denial of service;

2.3.18. Violate the terms of any of our Services.

2.4 Your Account

2.4.1 Clients are recognized as account holders.

2.4.2 You agree to: (1) utilize a strong password and keep it confidential; (2) not transfer any part of your account; (3) provide truthful and updated information; (4) use your real name on your profile; (5) engage with the Services professionally; and (6) comply with the law, this Contract, and the Policies.

2.4.3 You are responsible for all actions taken through your account unless you close it or report unauthorized use.

2.4.4 Your account is your property; however, if the Services were purchased by another party for your use, that party may control access and receive reports on your use, but not on your personal account.

2.5 Payments

2.5.1 Upon purchasing any of our paid Services (“Premium Services”), you agree to pay a one-time fee of 5,000 Naira, along with any applicable taxes and terms specific to Premium Services.

2.5.2 Failure to remit payment will result in the termination of your Premium Services.

2.5.3 Your purchase may incur foreign exchange fees or price variations based on location.

2.5.4 We may retain and bill your payment method even after it expires, to ensure continuity of your Premium Services.

2.5.5 Upon purchasing a Premium Service, your payment method will be automatically charged at the beginning of each subscription period.

2.5.6 Taxes may be calculated based on the billing information you provide.

2.5.7 You may cancel your agreement without penalty within five business days from enrollment, and payments made within three days will be refunded in full. Cancellations must be submitted in writing to support@tynexia.com. Refunds are non-refundable after the three-day window.

If any services provided by Tynexia are found to be unsatisfactory or defective, Tynexia will determine the appropriate remedy, which may include a refund or replacement, at its discretion. Submit refund requests to support@tynexia.com within five days of identifying the issue, along with supporting documents. Tynexia reserves the right to evaluate each request individually, adhering to its statutory obligations. Granted refunds will follow our policies.

2.5.8 You will receive invoices via email or through our app for any payments made.

2.6 Notifications and Messages

2.6.1 You agree that we may notify you via: (1) the Services, or (2) the contact information you provided (email, mobile number, etc.).

2.6.2 You commit to keeping your contact information current.

2.7 Sharing

2.7.1 Our Services facilitate messaging and information sharing, including your profile and job postings.

2.7.2 Shared information may be visible to other Clients, and we will respect your choices regarding visibility.

2.7.3 We are not obligated to publish any content or information and may remove it at our discretion.

3. RIGHTS AND LIMITS

3.1. Tynexia Commitment

Tynexia commits to safeguarding your data and providing tools to achieve the learning objectives of our programs.

3.2. Your License to Us

3.2.1 You acknowledge that all images captured within our Services are Tynexia’s property. You grant Tynexia a non-exclusive, worldwide license to use, copy, modify, distribute, and publicize these images for marketing purposes.

3.2.2 You own any information you submit; you are granting us and our affiliates the right to use, copy, modify, and distribute your content without further consent.

3.2.4 The License is limited as follows:

a. You can revoke the License by deleting the specific content or by closing your account, except in cases where others copied or shared it.

b. If you use a Service feature, we may mention your name or photo to promote that feature.

c. We may adjust your content for formatting without changing its meaning.

d. You retain ownership of your content and can share it with others.

3.2.5 You agree to provide only lawful content and information, complying with legal standards.

3.3. Service Availability

3.3.1 We may change, suspend, or discontinue any Service or modify our prices with reasonable notice as allowed by law.

3.3.2 Tynexia is not a storage service and has no obligation to retain any content you or others provide, except as required by law.

3.3.3 Tynexia reserves the right to accept or reject requests to join our Services or communities based on alignment with our values. We may maintain records of information related to your account for future reference.

3.3.4 We may limit your use of the Services or your ability to contact other Clients.

3.3.5 We can restrict, suspend, or terminate your account for breaches of this Contract or applicable laws.

3.4. Other Content, Sites, and Apps

3.4.1 You may encounter inaccurate or harmful content within our Services. We are not responsible for this content.

3.4.2 Tynexia does not supervise job opportunities or proposals between Clients and does not endorse any specific opportunities or proposals. You represent that you are authorized to offer or accept any proposals.

3.4.3 For events organized by Clients, Tynexia is not responsible for the conduct of attendees or for any associated events.

4. DISCLAIMER AND LIMITATION OF LIABILITY

4.1. No Warranty

4.1.1 Tynexia and its affiliates make no representations about the Services, including warranties on uninterrupted or error-free operation.

4.1.2 To the fullest extent permitted by law, Tynexia disclaims all implied warranties, including those of title, non-infringement, and fitness for a particular purpose.

4.2. Exclusion of Liability

4.2.1 To the fullest extent allowed, Tynexia and its affiliates are not liable for lost profits, business opportunities, or any indirect, incidental, or punitive damages.

4.2.2 Tynexia’s liability is limited to either the total fees paid by you for Services during the term or 1,000 USD, whichever is less.

4.3. Exclusions

4.3.1 These limitations apply to all claims, even if Tynexia was aware of the potential damages.

4.3.2 Limitations do not apply to liability for death, personal injury, fraud, or gross negligence.

5. TERMINATION

5.1 Either party can terminate this Contract at any time, resulting in the loss of access to the Services.

5.2 The following terms will remain in effect after termination:

  • Our rights to use your feedback
  • Client’s rights to share content previously shared
  • Sections 2.2, 4, 6, 7, and 8.2 will remain in effect
  • Any prior financial obligations will continue post-termination.

5.3 To close your account, email support@tynexia.com with your account details.

6. GOVERNING LAW & JURISDICTION

6.1 Regardless of your location, the laws of Nigeria govern any dispute related to this Contract.

6.2 Disputes shall be litigated only in Nigeria, and both parties agree to personal jurisdiction in those courts.

7. OTHER IMPORTANT TERMS

7.1 If a court finds any part of this Contract unenforceable, the terms will be modified to make them enforceable.

7.2 If the court cannot modify the terms, the unenforceable part will be removed, while the rest of the Contract remains in force.

7.3 This Contract constitutes the sole agreement between you and Tynexia concerning the Services, superseding earlier agreements.

7.4 If we do not enforce a breach, it does not mean we have waived our rights.

7.5 You may not transfer this Contract to anyone else without our consent, though we may transfer it to an affiliate without your consent.

7.6 If you have any issues with our Services, email support@tynexia.com, and we will address them.
